The general assembly (assemblee generale / algemene vergadering) is the highest decision-making body of a co-ownership. It must meet at least once a year, during the period specified in the co-ownership regulations.
Voting majorities vary by decision type:
- Simple majority (50%+1): routine maintenance, appointment of the property manager
- Qualified majority (2/3): works to common areas, changes to charge distribution
- Special majority (3/4 or 4/5): modification of the regulations, changes to the building’s purpose
- Unanimity: changes to shares or disposal of common areas
How it works
Convocation. The property manager sends the convocation at least 15 days before the meeting, with the agenda and all relevant documents.
Quorum. At least 50% of shares must be represented for the assembly to be valid. If the quorum is not met, a second assembly is convened with no quorum requirement.
Proxy. A co-owner who cannot attend can give a written proxy to another co-owner (maximum 3 proxies per person).
Practical example
The annual general assembly of a 15-unit building in Liege: the property manager presents the annual accounts (approved by simple majority), proposes replacing the lift (approved by 2/3 majority at 85,000 EUR), and is re-appointed for one year (simple majority). Three co-owners voted by proxy.
